Acceptance of these terms

By accessing our website or using our products and services, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

If your organization has a separate written agreement with Vela, that agreement governs your use of the platform to the extent it conflicts with these terms.

Use of the services

Subject to these terms, Vela grants you a limited, non-exclusive, non-transferable right to access and use the services for your internal business purposes. You agree not to misuse the services, including by interfering with their operation, attempting to access them by any means other than the interfaces we provide, reverse engineering any part of the platform, or using the services to violate applicable law.

Accounts and customer content

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You retain all rights to the documents, data, and other content you or your organization submit to the platform. You grant Vela the rights needed to host, process, and display that content solely to provide the services.

You are responsible for ensuring you have the necessary rights to the content you submit and that your use of the services complies with the regulatory obligations that apply to your projects.

Intellectual property

The services, including all software, models, designs, and documentation, are owned by Vela and its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these terms, no rights in the services are transferred to you. Feedback you provide about the services may be used by Vela without restriction or obligation.

Disclaimers

The services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Outputs of the platform, including drafts, calculations, and citations, are provided to support — not replace — review by qualified professionals, and Vela does not provide legal, engineering, or regulatory advice.

Limitation of liability

To the maximum extent permitted by law, Vela will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising out of or related to these terms or the services. To the maximum extent permitted by law, Vela's total liability under these terms will not exceed the amounts you paid to Vela for the services in the twelve months before the event giving rise to the claim.

Termination

You may stop using the services at any time. We may suspend or terminate your access to the services if you breach these terms, if required by law, or if we discontinue the services. Sections of these terms that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will survive.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the services will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction.

Changes to these terms

We may update these Terms of Service from time to time. If we make material changes, we will update the date at the top of this page and, where required, provide additional notice. Your continued use of the services after an update means you accept the revised terms.
